Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and 4expats, Inc. ("4expats", "we", "us", or "our"), a Delaware corporation with operations in the United States and internationally, operating the 4expats Community platform accessible at www.4expats.ai (the "Platform").

By registering for an account, clicking to accept, or otherwise accessing or using the Platform, you represent that:

• You are at least 18 years of age

• You have the legal capacity to enter into binding contracts in your jurisdiction

• You have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Community Guidelines, and our Provider Disclaimer (where applicable)

• If registering on behalf of a business or organization, you have authority to bind that entity to these Terms

If you do not agree to these Terms, you must not access or use the Platform.

2. Description of the Platform

4expats Community is a verified expat community that connects expatriate members with curated, community-vouched service providers. The Platform provides the following core functionalities:

2.1 For Members

• Discovery and browsing of verified service providers in the member's city

• Affinity-based trust signals indicating which providers are trusted by peers from similar backgrounds

• Ability to vouch for providers and submit private feedback about them

• Direct contact with providers via the Express Interest feature

• Referral and invitation tools with an associated credit system

Terminology note: The act of expressing community trust in a provider is called "vouching" throughout this Platform and all associated legal documents. References to vouching and vouches are equivalent to what may appear as "voting" or "votes" in legacy system contexts.

2.2 For Providers

• A public directory profile visible to verified community members

• A certification and badge system (Listed, Verified, Community Trusted) reflecting identity verification and community trust

• Inbound contact requests from verified members

• Analytics on profile views, vouches received, and affinity breakdowns

4expats does not provide any professional services itself. The Platform is a discovery and trust layer only. All professional services are delivered independently by listed providers. 3. Account Registration and Eligibility

3.1 Registration

To access most Platform features, you must create an account by providing accurate, complete, and current information. You agree to maintain and promptly update your account information.

3.2 One Account Per Person

Each individual may hold only one member account. Providers may hold a dual role (member + provider) within a single account. Creating multiple accounts is prohibited and may result in permanent removal.

3.3 Account Security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately at support@4expats.ai of any unauthorized use of your account.

3.4 Identity Verification

Enhanced platform features — including vouching for providers, submitting private feedback, and contacting providers — require additional identity verification through LinkedIn or Google OAuth. By completing this verification, you represent that the identity you are verifying is genuinely your own.

3.5 Pilot and City Launch Participation

During launch phases in each city, membership may be limited to a defined number of founding members. Registration is subject to availability. When a city cap is reached, you may join the waitlist for that city. 4expats reserves the right to manage waitlist admission at its sole discretion.

4. User Content

4.1 Your Responsibility

You are solely responsible for all content you submit, post, or transmit through the Platform, including profile information, private comments, affinity selections, and feedback submissions (collectively, "User Content").

4.2 License to 4expats

By submitting User Content, you grant 4expats a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, and display that content for the purpose of operating, improving, and promoting the Platform, including the use of private comments to generate AI-powered community summaries.

4.3 Prohibited Content

You agree not to submit content that:

• Is false, misleading, or fraudulent

• Violates the rights of any third party, including intellectual property rights or privacy rights

• Contains hate speech, harassment, threats, or discriminatory language

• Promotes illegal activity

• Contains spam, advertising, or unsolicited commercial communications

• Violates any applicable law or regulation

4.4 AI Processing of Comments

Private comments submitted about providers may be processed by artificial intelligence systems to generate aggregate community summaries that appear on provider profiles. By submitting a private comment, you consent to this processing. AI-generated summaries attribute feedback to affinity groups, not to individual members. No identifying information about you is included in any AI-generated summary.

5. Credits System

The Platform includes a credits system that allows members to earn credits for participation activities such as verification, vouching for providers, inviting new members, and referring providers.

Credits are tracked in a ledger and do not constitute currency, property, or any form of monetary value. Credits:

• Are non-transferable between accounts

• Have no cash value

• Are forfeited upon account deletion

• May become redeemable for Platform benefits at 4expats' sole discretion; any such redemption program will be communicated to members in advance

4expats reserves the right to modify the credit system, earning rates, or redemption options at any time. Material changes to credit redemption terms will be communicated to affected members at least 14 days in advance.

6. Intellectual Property

6.1 Platform Content

All content on the Platform not submitted by users — including the 4expats name, logo, design, text, graphics, trust algorithms, and software — is owned by or licensed to 4expats and protected by applicable intellectual property laws.

6.2 Restrictions

You agree not to:

• Copy, reproduce, distribute, or create derivative works from Platform content without written permission

• Reverse engineer, decompile, or attempt to extract the source code of the Platform

• Use any automated tools, scrapers, or bots to collect data from the Platform

• Use 4expats trademarks in any manner that implies endorsement or affiliation

7. Third-Party Services and Disclaimers

The Platform may integrate with or link to third-party services, including LinkedIn and Google for identity verification. Your use of those services is governed by the respective third-party terms and privacy policies. 4expats is not responsible for the practices of third-party services.

The Provider Disclaimer is incorporated into these Terms by reference.

8. Termination and Suspension

8.1 Termination by You

You may delete your account at any time by requesting deletion from your account Settings. Deletion is subject to a 30-day grace period during which you may reactivate your account. After 30 days, your personal data will be deleted in accordance with our Privacy Policy.

8.2 Termination by 4expats

4expats reserves the right to suspend or terminate your account, with or without notice, for:

• Violation of these Terms or the Community Guidelines

• Fraudulent, abusive, or harmful conduct

• Prolonged inactivity at our discretion

• Any reason we determine is necessary to protect the integrity of the community

8.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 6, 9, 10, 11, and 12) will continue to apply.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

4expats does not warrant that:

• The Platform will be uninterrupted, error-free, or secure

• Any provider listed on the Platform will meet your requirements or expectations

• Information provided by providers is accurate, complete, or current

• AI-generated community summaries are exhaustive or error-free

THE TRUST SIGNALS, BADGES, AND COMMUNITY SUMMARIES ON THE PLATFORM ARE INFORMATIONAL TOOLS ONLY. THEY DO NOT CONSTITUTE PROFESSIONAL ENDORSEMENTS, REFERRALS, OR GUARANTEES OF SERVICE QUALITY. MEMBERS ARE SOLELY RESPONSIBLE FOR THEIR OWN DUE DILIGENCE BEFORE ENGAGING ANY PROVIDER. SEE THE PROVIDER DISCLAIMER FOR FULL DETAILS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 4EXPATS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Platform

• Any conduct or content of any third party on the Platform

• Any content obtained from the Platform

• Unauthorized access to or alteration of your transmissions or data

• Any professional services provided or not provided by listed providers

IN JURISDICTIONS WHERE LIMITATIONS OF LIABILITY FOR CONSEQUENTIAL DAMAGES ARE NOT PERMITTED, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

4EXPATS' TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless 4expats and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform

• Your User Content

• Your violation of these Terms or the Community Guidelines

• Your violation of any third-party right, including intellectual property or privacy rights

• Any claim that your User Content caused damage to a third party

12. Governing Law and Dispute Resolution

12.1 Governing Law

4expats, Inc. is incorporated as a Delaware corporation. These Terms are governed by the laws of the State of Florida, United States of America — the state of 4expats' primary operations — without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be subject to binding arbitration administered in Miami, Florida, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.3 Arbitration Opt-Out

You may opt out of the arbitration agreement and class action waiver in Section 12.2 by sending written notice to legal@4expats.ai within 30 days of first accepting these Terms. Your notice must include your full name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida. Opting out will not affect your ability to use the Platform.

12.4 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact 4expats at legal@4expats.ai and provide a written description of the dispute and your proposed resolution. The parties agree to attempt in good faith to resolve the dispute informally for at least 30 days before commencing arbitration.

12.5 EU/EEA Consumer Protection

If you reside in the European Union or European Economic Area, nothing in these Terms — including the governing law, arbitration, or class action waiver provisions — limits your rights under the mandatory consumer protection laws of your country of residence. In the event of a conflict between these Terms and mandatory local consumer protection laws, the local laws prevail. EU/EEA residents retain the right to bring claims before the courts of their country of residence.

13. Changes to These Terms

4expats reserves the right to modify these Terms at any time. Material changes will be communicated to registered members by email at least 14 days before they take effect. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance.

14. Additional Terms for Providers

The following terms apply to users who register as service providers on the Platform, in addition to all other sections of these Terms.

14.1 Provider Application and Representations

By submitting a provider application, you represent and warrant that:

• All information in your application is accurate, complete, and current
• You have the authority to bind your business or professional practice to these Terms
• You hold all licenses, registrations, and certifications claimed in your application
• You authorize 4expats to verify your identity, credentials, and business registration through manual review and third-party checks

14.2 Verification and Badge System

4expats assigns certification badges based on the following progression:

• Listed: Application submitted and basic profile complete
• Verified: Identity and credentials confirmed through manual review by 4expats
• Community Trusted: Verified status plus minimum community trust signals (vouch thresholds met)

Badge status may be revoked at any time if 4expats determines that a provider no longer meets the criteria, has submitted inaccurate information, or has violated these Terms or the Community Guidelines. Revocation decisions may be appealed by contacting support@4expats.ai within 14 days.

14.3 AI-Generated Community Summaries

Providers acknowledge and agree that:

• Private comments submitted by verified members about the provider may be processed by AI systems to generate aggregate community summaries
• These summaries appear publicly on the provider's profile and are attributed to affinity groups, not individual members
• 4expats does not guarantee the accuracy, completeness, or fairness of AI-generated summaries
• Providers may request a review of a summary they believe is materially inaccurate by contacting support@4expats.ai

14.4 Founding Partner Terms

Founding Partners are providers who join during a city's initial launch phase and agree to the following additional commitments:

• Actively participate in community building during the launch period
• Aim to refer 10 new community members within 30 days of joining (a target, not a guarantee)
• Respond to Express Interest requests within 48 hours

Founding Partner designation reflects early participation and does not imply any additional verification, endorsement, or quality guarantee by 4expats. The same disclaimers and limitations in these Terms and the Provider Disclaimer apply equally to Founding Partners.

14.5 Provider Response Obligations

Providers are expected to respond to Express Interest requests from members in a professional and timely manner. While 4expats does not mandate specific response times, provider response rates are tracked and may be visible to members. Persistent non-responsiveness may result in reduced visibility in the directory or, in extreme cases, delisting.

14.6 Profile Accuracy and Updates

Providers must maintain accurate and current profile information at all times, including business name, contact details, locations, service areas, and credential status. Providers must promptly notify 4expats if any material change occurs to their license status, business registration, or ability to deliver services.

14.7 Delisting

4expats may delist a provider for any of the following reasons:

• Violation of these Terms or the Community Guidelines
• Submission of false or misleading credential information
• Persistent non-responsiveness to member inquiries
• Substantiated reports of unprofessional or harmful conduct
• Failure to maintain required licenses or registrations

Delisted providers will be notified by email with the reason for delisting. Providers may appeal within 14 days by contacting support@4expats.ai.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, and Provider Disclaimer (where applicable), constitute the entire agreement between you and 4expats regarding your use of the Platform.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of that term or any other term.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. 4expats may assign these Terms without restriction.
